"Agreement" refers to these Terms and Conditions together with any engagement letter executed between you and Obsidian Gate.
"Service" or "Services" refers to the legal consultation and advisory services offered by Obsidian Gate, including Criminal Defence Consultation, Shareholder Dispute Advisory, and Consumer Protection Filing.
"User" or "You" refers to any individual or entity accessing our website or engaging our services.
"We", "Us", or "Our" refers to Obsidian Gate, operating from 33 Jalan Sultan Ismail, Level 16, Menara IGB, 50250 Kuala Lumpur, Malaysia.
"Content" refers to all text, images, data, and other materials available on our website or provided as part of our services.
2. Acceptance of Terms
By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services.
You must be at least eighteen (18) years of age to use our website or engage our services. By using our website, you represent that you are of legal age and have the capacity to enter into a binding agreement under Malaysian law.
These terms constitute a legally binding agreement between you and Obsidian Gate from the moment you access our website or submit an enquiry.
3. Description of Services
Obsidian Gate provides legal consultation and advisory services in the areas of criminal defence, shareholder dispute resolution, and consumer protection under Malaysian law. The specific scope, terms, and fees of any engagement will be set out in a separate engagement letter provided before commencement of work.
Our services are available to individuals and businesses located in Malaysia. We reserve the right to decline any engagement at our discretion, including where a conflict of interest exists or where the matter falls outside our areas of practice.
Information presented on this website is for general informational purposes and does not constitute legal advice. A solicitor-client relationship is only established upon execution of a formal engagement letter.
4. User Responsibilities
When using our website or engaging our services, you agree to:
Provide accurate and complete information in all communications and form submissions.
Not use our website for any unlawful purpose or in any manner that could damage, disable, or impair the site.
Not attempt to gain unauthorised access to any part of our website, servers, or systems.

6. Payment Terms
Fees for our services are quoted in Malaysian Ringgit (MYR) and are set out in the engagement letter for each matter. Current indicative fees are: Criminal Defence Consultation from MYR 2,500, Shareholder Dispute Advisory from MYR 5,400, and Consumer Protection Filing from MYR 1,800.
Payment terms, including deposit requirements and milestone billing, will be specified in the engagement letter. We accept payment by bank transfer and online transfer. All fees are subject to applicable taxes.
If payment is not received by the agreed date, we reserve the right to suspend work on your matter until outstanding amounts are settled. We will provide reasonable notice before any suspension of services.
7. Service-Specific Terms
Criminal Defence Consultation: An initial consultation to assess your legal position. The consultation does not include court representation, which is subject to a separate engagement if required. The scope of advice is limited to the information you provide during the consultation.
Shareholder Dispute Advisory: Advisory services covering review of company documents, negotiation support, and mediation facilitation. Formal litigation, if needed, requires a separate engagement and fee structure.
Consumer Protection Filing: Includes claim assessment, documentation preparation, filing with the Tribunal for Consumer Claims, and hearing representation support. Appeals or matters escalated beyond the Tribunal are subject to additional fees.
8. Confidentiality
All information shared between you and Obsidian Gate in the context of a legal engagement is subject to solicitor-client privilege under Malaysian law. We will not disclose your confidential information to any third party without your consent, except where required by law or professional obligation.
This duty of confidentiality survives the termination of any engagement and continues indefinitely.
9. Disclaimers
Our website and its content are provided on an "as is" and "as available" basis. While we strive to ensure the information on our website is accurate and current, we make no representations or warranties of any kind, express or implied, regarding the completeness, accuracy, or reliability of any content.
Nothing on this website constitutes legal advice for your specific situation. Legal outcomes depend on the particular facts and circumstances of each case, and past results do not predict future outcomes.
We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.
10. Limitation of Liability
To the maximum extent permitted by Malaysian law, Obsidian Gate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our website or services.
Our total aggregate liability for any claim arising from or related to our services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.
Nothing in these terms excludes or limits liability for fraud, personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Obsidian Gate, its partners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms and Conditions, your misuse of our website, or your violation of any applicable law or regulation.
12. Termination
Either party may terminate a service engagement by providing written notice to the other party, subject to the terms of the engagement letter. Upon termination, you remain responsible for any fees incurred for work already completed.
We reserve the right to terminate or suspend your access to our website at any time, without notice, for conduct that we believe violates these Terms and Conditions or is harmful to our interests or those of other users.
Sections relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law shall survive any termination of these Terms and Conditions.
13. Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
Before commencing formal proceedings, both parties agree to attempt to resolve any dispute through informal negotiation for a period of at least thirty (30) days. If the dispute cannot be resolved informally, either party may refer the matter to mediation at the Asian International Arbitration Centre (AIAC) in Kuala Lumpur before proceeding to litigation.
Nothing in this section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to protect their rights.
14. General Provisions
Entire Agreement: These Terms and Conditions, together with our Privacy Policy and any engagement letter, constitute the entire agreement between you and Obsidian Gate regarding the subject matter hereof.
Severability: If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any provision of these terms shall not be construed as a waiver of that provision or our right to enforce it in the future.
Assignment: You may not assign or transfer any rights or obligations under these terms without our prior written consent. We may assign our rights and obligations without restriction.
Notices: Any notice required under these terms shall be given in writing and sent to the relevant party's email or postal address.
15. Changes to These Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting the updated terms on our website with a revised "Last Updated" date.
Your continued use of our website or services after any changes constitutes your acceptance of the revised terms. We encourage you to review these terms periodically.
